Cutoshi Wallet is a product developed by Cutoshi. (“Cutoshi,” “we,” “us,” or “our”), a leading company in blockchain technology and decentralized finance (DeFi). Cutoshi Wallet provides users with a non-custodial multi-chain wallet designed to facilitate the secure storage and management of digital assets. By using Cutoshi Wallet, you agree to abide by the following Terms of Use (the “Terms” or the “Agreement”).
1. The Offerings
1.1 General Conditions
You represent and warrant that you are at least 18 years old or of other legal age, according to the relevant jurisdiction, and that you are legally able to enter into contracts. You represent and warrant that you are not located in, or are not a citizen or resident of, the United Kingdom, the United States of America, or any country subject to United Nations Sanctions Lists and their equivalent, or any country where the usage of cryptocurrency is forbidden by applicable law. You further agree that you are transacting only with legally obtained funds that belong to you and are not engaging in or supporting any unlawful activities through your use of the Services.
1.2 Cutoshi Wallet Mobile Application
Cutoshi Wallet allows you to access and transfer ownership of virtual currency tokens (“Cryptocurrency”). Your use of Cutoshi Wallet is governed by these Terms.
1.3 You Own Your Private Keys
Cutoshi Wallet does not store users’ private information, including private keys or backup phrases. It is very important that you backup your private keys and recovery phrases. If you lose this information, Cutoshi cannot recover it for you, and you may lose access to your virtual currency or tokens. We urge you to ensure proper backup of your Private Information.
1.4 Cutoshi Wallet Exchange Operations
Cutoshi Wallet itself does not provide exchange services. However, we partner with third-party services to provide exchange opportunities, including ChangeNOW. By using the exchange services, you agree to the third-party provider’s Terms of Service, which can be found here.
While the Software makes it easy to engage with third-party services, Cutoshi Wallet shall not be responsible for any consequences stemming from your use of third-party integrated services.
1.5 Cutoshi Wallet Merchant Payments
Cutoshi Wallet allows users to accept payments and generate cryptocurrency payment invoices through integration with NOWPayments. To use the Merchant Payments feature, you must have a registered account with NOWPayments and log in via the app. By using this feature, you acknowledge and agree to the NOWPayments User Agreement and Terms of Service.
1.6 No Control Over Blockchains
Cutoshi Wallet is not the creator of and does not control any of the virtual currencies that the Cutoshi Wallet Mobile Non-Custodial Wallet Application allows you to store, exchange, or use. You are responsible for ensuring that you comply with all blockchain network requirements.
2. Changes to the Offerings
2.1 Modification of Services
We reserve the right to modify, suspend, or discontinue any part of Cutoshi Wallet or its functionality at any time. We will notify users of material changes through the app or email.
2.2 Amendment to Agreement
We may modify these Terms at any time. By continuing to use Cutoshi Wallet after changes are made, you agree to the updated Terms. We will notify users of changes through the app or email.
3. User Responsibilities
3.1 Account Security
You are responsible for maintaining the security of your private keys, wallet, and any associated credentials. Cutoshi Wallet recommends using strong passwords and enabling two-factor authentication where available. We do not store private keys and cannot recover lost passwords or recovery phrases.
3.2 Loss of Access
Cutoshi Wallet is not liable for any loss of access to your wallet, funds, or digital assets due to theft, loss of private keys, or unauthorized access resulting from failure to maintain security.
3.3 Compliance
You agree to comply with all local and international laws regarding cryptocurrency, including AML (anti-money laundering) and KYC (know-your-customer) regulations, where applicable.
3.4 Indemnification
You agree to indemnify and hold harmless Cutoshi Wallet from any claims, demands, and damages, including loss of use, profits, data, or assets, resulting from your breach of any representations and warranties in these Terms.
4. Fees and Payment
4.1 Transaction Fees
Some transactions made through Cutoshi Wallet may incur network fees or gas fees, determined by the relevant blockchain network. These fees are not controlled by Cutoshi Wallet and are subject to change.
4.2 NOWPayments Integration
Cutoshi Wallet allows users to accept cryptocurrency payments via NOWPayments. By using the Merchant Payments feature, you agree to the NOWPayments User Agreement and Terms of Service.
4.3 Exchange Services
Cutoshi Wallet partners with third-party services such as ChangeNOW, Simplex, Guardarian, and Transak to convert fiat to cryptocurrency and vice versa. By using these exchange services, you agree to the third-party terms and acknowledge that Cutoshi Wallet is not responsible for the exchange or conversion process.
5. Suspension and Termination
5.1 Suspension of Services
Cutoshi Wallet reserves the right to suspend or terminate your access to the service for any reason, including suspected fraudulent activities or a violation of these Terms.
5.2 Termination by You
You may stop using Cutoshi Wallet at any time by ceasing to use the service. Any outstanding fees remain due even after termination.
5.3 Termination by Cutoshi
We may terminate your access to Cutoshi Wallet for any reason, with or without cause, and without prior notice. Cutoshi Wallet will not be liable for any loss of access to funds following termination.
6. Limitation of Liability
6.1 No Liability for Loss of Funds
Cutoshi Wallet is not responsible for any loss of funds due to unauthorized access, theft, or other reasons related to the use of the Service. You use Cutoshi Wallet at your own risk.
6.2 Liability Limitation
Cutoshi Wallet’s liability, if any, arising from this Agreement shall not exceed the total fees paid by you for the use of Cutoshi Wallet in the past twelve months or $100, whichever is greater.
7. Indemnification
7.1 Indemnification by You
You agree to defend, indemnify, and hold harmless Cutoshi Wallet, its affiliates, and licensors, from any claims, losses, or damages arising from your use of Cutoshi Wallet or violation of these Terms.
7.2 Indemnification by Cutoshi
Cutoshi agrees to indemnify you for any claims arising from our intentional breach of this Agreement.
8. Disclaimers and Risks
8.1 No Warranty
Cutoshi Wallet is provided "as-is," without any warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
8.2 Risks of Using Blockchain Technology
You acknowledge and accept the inherent risks of using blockchain technology, including the possibility of loss of funds due to network issues, bugs, or security vulnerabilities.
8.3 Third-Party Services and Fees
Cutoshi Wallet integrates with third-party providers such as ChangeNOW, Simplex, Guardarian, and Transak for virtual currency exchanges and NOWPayments for merchant payments. These third-party services may have additional terms and conditions, and Cutoshi Wallet is not responsible for any transactions or issues arising from third-party services.
8.4 Blockchain Network Risks
You understand that blockchain networks are decentralized and that transactions on the blockchain are irreversible. You acknowledge the possibility of losing funds due to errors in transactions, smart contract vulnerabilities, or malicious activities within the blockchain ecosystem.
9. Arbitration and Class Action Waiver
9.1 Arbitration
Any disputes or claims related to Cutoshi Wallet shall be resolved by binding arbitration. You agree to resolve any disputes through arbitration rather than through a court trial.
9.2 Class Action Waiver
You waive your right to participate in class actions, and any disputes must be handled individually.
10. Miscellaneous
10.1 Assignment
You may not assign this Agreement or your rights to any third party without Cutoshi’s prior written consent.
10.2 Force Majeure
We are not responsible for any delays or failures in performance due to causes beyond our reasonable control, including but not limited to natural disasters, technical failures, or cyberattacks.
10.3 Governing Law
This Agreement shall be governed by the laws of the jurisdiction in which Cutoshi is based.
10.4 NOWPayments Integration
By using Cutoshi Wallet’s Merchant Payments service, you acknowledge that the integration with NOWPayments is governed by their User Agreement and Terms of Service.
10.5 Third-Party Services
Cutoshi Wallet integrates with third-party services such as ChangeNOW, Simplex, Guardarian, and Transak. These third-party services may have additional terms and conditions, and you agree to comply with those terms when using their services.
11. Tax Compliance
You are responsible for complying with local laws, taxes, and regulations regarding the use of cryptocurrency in your jurisdiction. Cutoshi Wallet does not provide tax advice, and it is your responsibility to determine your tax obligations.
